Terms of Service

1. Acceptance of Terms

By creating an account or using Parlai Network (“the Service”), you agree to these Terms of Service. If you do not agree, do not use the Service. These terms apply to all users, including free and paid subscribers.

2. Description of Service

Parlai Network is an AI-powered business matchmaking platform. Our AI agents analyze your business profile and identify potential partnership, referral, and deal opportunities with other businesses on the platform. Match reports are delivered anonymously until both parties agree to connect.

3. Account Registration

You must provide accurate, current, and complete information when creating your account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at manny@aialchemist.net of any unauthorized access.

4. Subscriptions and Billing

• Free tier: Includes Buyer Agent access (receive anonymous match reports). No payment required.
• Pro ($49/mo): Includes Seller Agent activation (AI actively pitches your business to buyers). Billed monthly via Stripe.
• Enterprise ($99/mo): Priority matching, all Pro features, and dedicated support.
• EARLYBIRD6 promotion: First month charged at the standard rate; months 2–6 are $0 via a 5-month 100% discount applied to your subscription. Standard pricing resumes at month 7.
• Cancellation: You may cancel at any time via the billing portal. Access continues through the end of the paid period. No refunds are issued for partial months.
• Price changes: We will provide at least 30 days notice before any price increase, with the exception of promotional pricing which may expire as stated at enrollment.

5. Founders Membership

Founders Membership is a one-time payment that locks your Pro subscription rate permanently. This means your monthly rate will never increase regardless of future pricing changes. The Founders rate applies only to the specific account that purchased it and is non-transferable.

6. Acceptable Use

You agree not to:

• Provide false or misleading information in your business profile.
• Use the platform for spam, solicitation outside matched opportunities, or harassment.
• Attempt to reverse-engineer, scrape, or extract data from the platform.
• Share your account credentials with others.
• Use the Service for any unlawful purpose.

Violation of these terms may result in immediate account suspension without refund.

7. Business Profile Accuracy

You are solely responsible for the accuracy of your business profile, services listed, and deal preferences. Parlai Network matches are generated by AI based on the information you provide. We are not responsible for matches that result from inaccurate or incomplete profile information.

8. No Guarantee of Results

Parlai Network provides a platform for business discovery. We do not guarantee that use of the Service will result in closed deals, partnerships, or revenue. Match quality depends on the availability and quality of profiles on the platform.

9. Intellectual Property

The Parlai Network platform, brand, and technology are owned by parlAI Agentic Opportunity Discovery Network. Your business profile content remains yours. By submitting profile information, you grant Parlai Network a limited license to use that information to operate the matching service (including generating anonymous match reports for other users).

10. Limitation of Liability

To the fullest extent permitted by law, Parlai Network shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including lost profits or business opportunities. Our total liability to you for any claim shall not exceed the amount you paid us in the three months prior to the claim.

11. Disclaimer of Warranties

The Service is provided “as is” without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated matches will meet your expectations.

12. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Texas.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or an in-app notice at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

14. Preliminary Nature of Proposed Deals

All match proposals, negotiated terms, and deal summaries generated by Parlay Network are preliminary expressions of potential interest only. They do not constitute binding contracts, offers, or commitments of any kind. Accepting a deal on Parlay Network means you agree to explore the opportunity further — it does not create any legal obligation between parties. All final agreements, scopes of work, contracts, or arrangements must be independently negotiated, reviewed, and executed by the parties involved.

15. Tax and Legal Compliance

You are solely responsible for understanding and complying with all applicable tax laws, accounting regulations, and legal requirements in connection with any business arrangement you enter into through connections made on Parlay Network. This includes, without limitation, income tax obligations, sales tax, value-added tax (VAT), reporting requirements for in-kind or service-for-service arrangements, and any other obligations imposed by federal, state, local, or international authorities.

Parlay Network does not provide tax advice, legal advice, or accounting guidance. The platform facilitates business introductions only. Parlay Network expressly disclaims any liability arising from tax, legal, or regulatory consequences of transactions or arrangements made between users. We strongly recommend consulting a qualified tax professional or attorney before entering into any business arrangement involving the exchange of services, revenue sharing, or other non-cash consideration.

16. No Transaction Facilitation

Parlai Network is a business matchmaking and introduction service. We do not facilitate, process, escrow, or record transactions between users. We are not a party to any agreement, contract, or arrangement formed between users as a result of using the Service. Any payments, deliverables, or obligations exchanged between matched parties occur entirely outside of the Parlai Network platform and are the sole responsibility of those parties.
